Welcome to Sova. By accessing or using our website and services, you agree to be bound by these Terms of Service. Please read them carefully.
1. Acceptance of Terms
By accessing or using Sova's assessment tool, chatbot, website, or any related services (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree, you may not use the Service.
2. Description of Service
Sova provides a business assessment tool and AI-powered chatbot designed to help Australian startups and scaleups evaluate their business foundations. The Service includes:
- Self-assessment questionnaires across 9 business elements
- AI-generated insights and diagnostic conversations
- Curated tool and methodology recommendations
- Saved assessment history and progress tracking
- PDF export of assessment reports
3. Intellectual Property Rights
All content, features, and functionality of the Service are owned by Jane Korneyko trading as Sova and are protected by Australian and international copyright and other intellectual property laws.
This includes, but is not limited to:
- The assessment methodology and framework (9 Elements, 4 Stages)
- All questions, scoring algorithms, and logic
- The AI chatbot prompts, responses, and training data
- All website designs, graphics, logos, and user interfaces
- The curated knowledge base of tools and frameworks
- All source code, scripts, and technical implementations
4. Prohibited Uses
You agree NOT to:
- Copy, reproduce, or duplicate any part of the Service, including the assessment tool, questions, or methodology
- Reverse engineer, decompile, or disassemble any aspect of the Service
- Scrape, extract, or harvest data from the Service using automated tools, bots, or scripts
- Create derivative works based on the Service or its content
- Redistribute, sell, or license any content from the Service to third parties
- Remove or alter any copyright notices, watermarks, or proprietary markings
- Use the Service to develop a competing product or service
- Circumvent any technical measures we use to protect the Service
- Use automated tools to access the Service at high volumes or in ways that could damage our infrastructure
5. User Accounts
To access paid features, you must create an account. You agree to:
- Provide accurate and complete registration information
- Keep your password secure and confidential
- Notify us immediately of any unauthorised account access
- Be responsible for all activity under your account
We handle your data in accordance with our Privacy Policy.
6. Payments and Access
6.1 Free Tier
You may complete all 9 assessment elements for free. The free tier includes scores and stage identification. Access to expert advice, curated tools, and priority action plans requires a paid plan.
6.2 Paid Plans
Paid access is purchased as a one-time payment for a fixed access period:
- 3 Months - $99 AUD (expert advice and tools)
- 6 Months - $199 AUD (expert advice, tools, and AI coaching with 100 messages per month)
- 12 Months - $299 AUD (expert advice, tools, and unlimited AI coaching)
All prices are in Australian Dollars (AUD) and include GST. There are no subscriptions, no auto-renewals, and no recurring charges. If you purchase again while you still have active access, the new period is added to your existing access.
6.3 Billing
Payments are processed securely through Stripe. You will not be charged again unless you choose to make another purchase. You can view your payment history through the billing portal in your account settings.
6.4 Refund Policy
All purchases are final. We do not offer refunds. This is clearly stated before purchase. The free tier allows you to complete all assessments and view your scores before deciding whether upgrading is right for you.
7. AI-Generated Content Disclaimer
The Sova chatbot uses artificial intelligence to provide guidance. While we strive for accuracy:
- AI responses are for informational purposes only and do not constitute professional advice
- You should consult qualified professionals (lawyers, accountants, etc.) for specific business decisions
- Sova is not liable for decisions made based on AI-generated recommendations
8. Account Deletion
You may delete your account at any time from your account settings. Upon deletion:
- Your account will be immediately deactivated
- Your data will be retained for 12 months (for potential reactivation), then permanently deleted
- Payment records will be retained as required by Australian tax law
- You may request immediate permanent deletion by contacting us
9. Limitation of Liability
Nothing in these Terms excludes, restricts or modifies any consumer guarantees, rights or remedies you may have under the Australian Consumer Law or other applicable laws that cannot be lawfully excluded.
Subject to the above, and to the maximum extent permitted by law:
- Jane Korneyko trading as Sova's liability for any breach of a non-excludable consumer guarantee is limited to, at our option, re-supplying the services or paying the cost of having the services re-supplied
- Jane Korneyko trading as Sova shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
- Our total liability shall not exceed the amount you paid for the Service (if any) in the twelve months preceding the claim
10. DMCA and Copyright Infringement
We respect intellectual property rights and expect our users to do the same. If you copy, reproduce, or distribute our content without authorisation, we will:
- Issue DMCA takedown notices to hosting providers
- Pursue legal action under the Australian Copyright Act 1968
- Seek damages and injunctive relief as permitted by law
11. Termination
We reserve the right to suspend or terminate your access to the Service at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the Service ceases immediately.
12. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the new Terms on this page with an updated "Last updated" date. For significant changes, we may also notify you by email.
13. Governing Law
These Terms are governed by the laws of Victoria, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Victoria.
